Article 1 – Scope of Application
These General Terms and Conditions of Sale (hereinafter the “Terms”) govern all sales of products and services supplied by ARTIPLAST–HAPPYMANUT (hereinafter the “Seller”) to professional customers (hereinafter the “Buyer”), both in France and internationally.
Any order placed with the Seller implies full and unconditional acceptance of these Terms, which shall prevail over any conflicting terms or documents issued by the Buyer, unless expressly agreed otherwise in writing by the Seller.
Article 2 – Products and Services
The Seller provides, in particular:
· Material handling and workstation ergonomics equipment,
· Custom-made products
· Equipment rental, installation, and maintenance services.
The essential characteristics of the products and services are described in the quotations, technical datasheets, or relevant web pages. The Seller reserves the right to modify product specifications at any time, without prior notice, in the context of technical developments.
Article 3 – Orders
Orders must be confirmed by a signed quotation or by electronic validation via the Seller’s website.
An order shall become binding only upon written confirmation by the Seller.
No modification or cancellation of an order shall be valid without the Seller’s prior written consent. In the event of an accepted cancellation, any costs incurred shall remain payable by the Buyer.
Article 4 – Prices
Prices are stated in euros, exclusive of taxes and delivery costs, unless otherwise specified.
The Seller reserves the right to amend its prices at any time. However, prices applicable to an order shall be those in effect on the date of order confirmation.
Quotations specify the validity period of the offer.
Article 5 – Payment Terms
Unless otherwise agreed in writing, invoices are payable:
· Within thirty (30) days end of month from the invoice date,
· By bank transfer or any other payment method accepted by the Seller.
Any late payment shall automatically give rise, without prior formal notice, to:
· Late payment interest calculated at the European Central Bank reference rate plus ten (10) percentage points,
· A fixed compensation of €40 for recovery costs, in accordance with applicable regulations.
In the event of non-payment, the Seller reserves the right to suspend or cancel ongoing orders.
Article 6 – Delivery and Transfer of Risk
Delivery times are provided for information purposes only. Failure to meet delivery times shall not give rise to cancellation or compensation.

· By direct handover to the Buyer, or
· By shipment to the address specified in the order.
Risk shall pass to the Buyer upon delivery of the goods to the carrier.
All costs and risks associated with returning goods shall be borne exclusively by the Buyer.
Article 7 – Acceptance and Claims
Any reservations or claims regarding the condition of delivered goods must be:
- Noted in writing upon delivery on the carrier’s delivery documents,
- Confirmed in writing within three (3) working days of delivery by email to contact@artiplast.net

No claims shall be accepted if this procedure is not strictly followed.
Article 8 – Warranty and After-Sales Service
Standard products are covered by a two (2) year warranty covering parts only, effective from the delivery date.
Labor and travel expenses shall be invoiced at the rate in force at the time of intervention (€120 excluding tax per hour).
The warranty does not cover:
· Normal wear and tear,
· Damage resulting from improper use, insufficient maintenance, or unauthorized modifications,
· Consumables and accessories.
Any warranty service is subject to prior technical assessment. Return of goods shall be at the Buyer’s expense.
Article 9 – Liability
The Seller’s liability shall only arise in the event of proven fault.
In all cases, the Seller’s liability shall be strictly limited to the amount excluding tax of the relevant order.
The Seller shall not be liable for any indirect or consequential damages, including but not limited to loss of production, business, or profit.
Article 10 – Intellectual Property
All plans, studies, technical documents, and models produced by the Seller remain its exclusive property.
Any reproduction, disclosure, or use without prior written authorization is strictly prohibited and may constitute infringement.
Article 11 – Personal Data
Personal data collected are necessary for order processing and commercial relationship management.

Data are retained for the period necessary for commercial and accounting purposes.
Article 12 – Disputes
Any dispute relating to the interpretation or performance of these Terms shall fall under the exclusive jurisdiction of the Commercial Court of Saint-Étienne, unless otherwise required by mandatory law.

Article 13 – Governing Law
These Terms shall be governed by and construed in accordance with French law, to the exclusion of any other legal system.
